New corporate structure at Ugra

Ugra has changed its organisational structure to strengthen our customer focus and service quality and as part of our strategic direction for the future. This will allow us to focus even more on our customers, market segments and business areas and strengthen our independence.

Specifically, Ugra has transferred all assets and liabilities, including contractual relationships, to a newly founded subsidiary - Ugra Swisstesting AG - with effect from 1 January 2024. At the same time, the association will continue to exist, but with amended articles of association including a change of company name and purpose (new company name: Ugra Schweizer Kompetenzzentrum Druck- und Medientechnik).

Thus, the business activities of Ugra will be carried out by Ugra Swisstesting AG in the future, while the association, as 100% owner of the AG, will manage the basic business orientation and continue to promote standardisation in the print and media industry through research, cooperation with other institutions and the organisation of events.

The following applies specifically to the association's existing contractual partners: The contracts will also be automatically transferred to the newly founded Ugra Swisstesting AG on the effective date of the asset transfer (1 January 2024). However, the association is jointly and severally liable for the liabilities established prior to the transfer of assets for a period of three years (Art. 75 FusG). Any security may be requested in accordance with Art. 75 para. 3 lit. b FusG.
